Please read these Terms of Service ("Terms") carefully before using the Fleming Wilde website or engaging our services.
1. Acceptance of Terms
By accessing flemingwilde.com, you agree to be bound by these Terms and all applicable laws and regulations of the Province of Quebec and Canada. If you do not agree with any of these terms, you are prohibited from using or accessing this site.
2. Nature of Services
Fleming Wilde provides digital infrastructure, software development, and strategic consulting. While we work extensively with financial firms:
- We are not a financial institution, law firm, or accounting firm.
- Our software and websites are tools to assist professionals. We do not provide financial advice, legal counsel, or tax opinions.
- You are responsible for ensuring that any digital asset we build for you complies with your specific industry regulations (e.g., CPA Canada codes, Barreau du Québec ethics).
3. Intellectual Property
Website Content: All content on this website (text, design, code, logos) is the exclusive property of Fleming Wilde and is protected by Canadian and international copyright laws.
Client Deliverables: Intellectual property rights regarding specific client projects (websites, portals) are governed by the Master Services Agreement (MSA) signed at the commencement of a project.
FW Labs / Ledger A: Any beta software, prototypes, or concepts shared under "FW Labs" remain the sole proprietary intellectual property of Fleming Wilde.
4. Limitation of Liability
In no event shall Fleming Wilde, its partners, or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on Fleming Wilde’s website, even if Fleming Wilde has been notified orally or in writing of the possibility of such damage.
5. Beta Software ("FW Labs")
If you participate in our "FW Labs" program or use beta versions of "Ledger A":
- The software is provided "AS IS" without warranty of any kind.
- You understand that the software may contain bugs or errors.
- You agree to keep all non-public information regarding the beta confidential.
6. Governing Law
These terms and conditions are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. You irrevocably submit to the exclusive jurisdiction of the courts in the judicial district of Montreal.
